Terms of Service
Effective December 20, 2025
Merkado is a curated marketplace for launch-ready AI and business app templates. These Terms of Service ("Terms") are a legal agreement between you and NeuroLoop LLC, which operates Merkado ("Merkado," "we," "us," or "our"). They cover how you may browse, buy, download, and (if you are an approved maker) sell templates on merkado.ai and any related pages or services (together, the "Service"). By creating an account or making a purchase, you agree to these Terms. If you do not agree, please do not use the Service.
01 The Service
Merkado is an online marketplace that connects buyers with makers who publish ready-to-deploy templates such as Next.js apps, automation flows, and AI tools. Some listings ("Merkado Originals") are built and sold by us directly. Other listings are published by independent third-party makers, and Merkado acts as the marketplace and payment facilitator for those sales. We curate listings for quality, but you are responsible for deciding whether a given template fits your needs.
02 Your account and eligibility
You must be at least 18 years old, or the age of majority where you live, to use the Service. You sign in using a one-time link sent to your email, so you are responsible for keeping access to that email account secure and for all activity under your account. Provide accurate information, keep it current, and tell us promptly at hello@merkado.ai if you believe your account has been accessed without your permission.
03 Purchases, payment, and delivery
Each listing shows its price in US dollars on its product page. Purchases are one-time payments processed by our payment provider, Stripe. When your payment succeeds, you receive an order confirmation and immediate access to download the template files and any included assets. You are responsible for any taxes that apply to your purchase unless we state otherwise at checkout. Prices, listings, and availability may change at any time, but changes do not affect orders you have already completed.
04 Licenses and intellectual property
Buying a template grants you a license to use it, not ownership of it. Every template on Merkado is sold under a single-use commercial license: you may use and customize the template to build and deploy a single commercial project or end product of your own, but you may not resell, redistribute, sublicense, or republish the template files themselves, in original or modified form, whether on their own or as part of another template, kit, or asset. Merkado Originals remain the property of NeuroLoop LLC. Third-party maker templates remain the property of their makers. The Merkado name, logo, site design, and platform software remain our property.
05 Refunds
Because templates are digital goods delivered instantly, we handle refunds case by case. If a template does not work as described, is materially different from its listing, or you were charged in error, contact us at hello@merkado.ai within 30 days of purchase and we will work with you to make it right, including a refund where appropriate. We generally do not offer refunds for a change of mind after you have downloaded the files, or for a working template that simply did not fit your particular use case. Nothing here limits rights you may have under applicable law.
06 Acceptable use
When you use the Service, you agree not to: use it for any unlawful purpose; resell, redistribute, or sublicense template files beyond the license you were granted; reverse-engineer, scrape, or disrupt the Merkado platform itself; attempt to access accounts, data, or areas that are not yours; upload or transmit malware; or infringe anyone's intellectual property or privacy rights. We may suspend or close accounts that violate these Terms or that create risk for other users, makers, or Merkado.
07 Selling on Merkado (makers)
If you are approved to list templates as a maker, this section also applies to you. You may submit templates through our submission flow, and we curate what goes live, so approval is not guaranteed and we may decline or remove a listing at our discretion. You keep ownership of your templates, and you grant Merkado a non-exclusive license to host, display, market, and distribute them to buyers through the Service. Maker payouts are handled through Stripe Connect, subject to the revenue split shown to you when you onboard, and you are responsible for your own taxes and for any tax forms (such as 1099s) that apply. You represent that you have the rights to everything you list, that your templates do not infringe third-party rights or contain malicious code, and that your listing descriptions are accurate. You agree to indemnify Merkado for claims arising from your listings, as described in Section 11.
08 Third-party services and template content
Templates are tools, and many of them are designed to connect to third-party services (for example, hosting providers, payment processors, or AI APIs). Those services are governed by their own terms and pricing, and Merkado is not responsible for them. For third-party maker listings, the maker is responsible for the template's content, functionality, and support, and Merkado's role is to curate, host the marketplace, and facilitate payment. You are responsible for reviewing a template's requirements and license before you rely on it.
09 Warranties and disclaimers
THE SERVICE AND ALL TEMPLATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that any template will meet your requirements, that the Service will be uninterrupted or error-free, or that templates are free of every defect. You are responsible for reviewing, testing, and securing any template before you deploy it.
10 Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms. Our total liability for any claim relating to the Service or a purchase will not exceed the greater of one hundred US dollars ($100) or the total amount you paid to Merkado in the twelve months before the event giving rise to the claim.
11 Indemnification
You agree to defend, indemnify, and hold harmless NeuroLoop LLC and its officers, employees, and contractors from any third-party claims, damages, losses, and costs (including reasonable legal fees) arising from your misuse of the Service, your violation of these Terms, your use of a template in violation of its license or applicable law, or, if you are a maker, from the templates and content you list.
12 General terms
We may modify or discontinue parts of the Service at any time. We may update these Terms, and for material changes we will provide reasonable notice (for example, by email or a notice on the site) at least 30 days before they take effect, except where a change must take effect sooner for legal reasons. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute that is not otherwise resolved. If any provision is found unenforceable, the rest stays in effect. These Terms are the entire agreement between you and Merkado regarding the Service, and you may not assign them without our consent.
